The quality of the parties associated with the offtake agreements matters more than anything else when underwriting your deal. We have extensive experience with offtake agreements (PPAs, Biofuels and more. We have a large database of offtake agreement templates on hand with approved language) in evolving projects to make them credit worthy prior to submission for approval.
We possess the key language that must be included for offtake agreements to be fully bankable. Offtake agreements in principle should be with investment grade off-takers and written strictly to ensure guaranteed project cash flows in a “hell or high water, take or pay” style. They should also be long term in duration and have as many cancellation clauses removed as possible, ideally only force majeure remaining. Project developers need experienced off-takers who understand the language requirements of bankable projects.
We also arrange for conditional funding letters and term sheets to strengthen your negotiation position with the parties’ key to your project, solving many chicken and egg problems which “block” a deal.
